Terms of service for ChapterDues

The agreement between your chapter and MLJ, SASU. Last updated September 4, 2026.

1. Acceptance of these terms

These terms form the agreement between MLJ, SASU, a simplified joint stock company registered at 934 769 837 R.C.S. Paris, and the organization that subscribes to ChapterDues. By creating an account, by submitting a request through this website, or by using the service in any way, you accept these terms on behalf of the chapter or association you represent, and you confirm that you hold an office or a delegation that allows you to do so. If you do not accept them, do not use the service.

2. What the service is

ChapterDues is a hosted web application for membership organizations. It maintains a roster of record for members, runs annual dues collection with member categories and prorated joining rules, sends renewal reminder sequences, records event registrations and payments, and produces a treasurer handover report and periodic board statements. It is a record keeping and administration tool. It is not an accounting firm, a bank, a payment institution, a tax adviser or a legal adviser, and nothing it produces is a substitute for professional advice or for the fiduciary judgment of your officers.

3. Accounts and eligibility

An account may be opened by an organization acting through an authorized officer. The subscriber is responsible for the accuracy of the account details, for keeping credentials confidential, and for the actions of every officer account it creates. Officer accounts must not be shared between people, because the audit trail depends on each action being attributable to one person. When an officer's term ends, the subscriber is responsible for removing or reassigning her access. You must be at least eighteen years old to hold an account.

4. Acceptable use

You agree to use ChapterDues only for the administration of your own organization. You must not use it to send unsolicited commercial messages to people who are not members or prospective members of your organization, to store data unrelated to membership administration, to attempt to access another subscriber's data, to probe or test the security of the platform without written permission, to reverse engineer the application, or to resell access to it. You are responsible for having a lawful basis to hold and to contact the members whose details you enter, and for honoring any request a member makes to you about her own data.

5. Subscription and billing

The service is offered on three plans: Small Chapter at $25 per month, Chapter at $59 per month and Association at $129 per month, each in United States dollars. Every plan is billed monthly in advance from the date the subscription begins, and prices are exclusive of any sales tax or value added tax that may apply to your organization. Plan limits, including member counts and officer accounts, are published on the pricing section of the home page and form part of this agreement. If your roster exceeds your plan limit, we will contact you before the next billing date to move you to the appropriate plan, and the change applies from the following billing period. Price changes are announced at least thirty days in advance and never apply to a period already paid for.

6. Cancellation and refunds

You may cancel at any time from inside your account. Cancellation takes effect at the end of the billing month already paid for, and no further charge is made. There is no cancellation fee and no minimum term. Because billing is monthly and in advance, partial months are not refunded, except where the service was materially unavailable for a continuous period, in which case we credit the affected days on request. We may suspend or terminate an account for non payment after two written notices, or immediately for a serious breach of section 4.

7. Your data

The roster, the ledger, the event records and every other record your organization enters remain the property of your organization. MLJ, SASU processes them on your instructions in order to provide the service and for no other purpose. We do not sell them, we do not use them to train third party systems, and we do not disclose them except where required by law. You may export your data in a standard spreadsheet format at any time during the subscription and for thirty days after it ends, after which the records are deleted from live systems and, within a further sixty days, from backups.

8. Availability and support

We aim for a monthly availability of 99.5 percent, measured excluding announced maintenance. Maintenance that affects availability is announced at least forty eight hours ahead and is scheduled outside United States business hours wherever possible. Support requests are answered by email within one business day. During the two weeks either side of a customer's dues year turn, changes affecting the ledger are frozen and support is prioritized.

9. Warranty disclaimer

The service is provided on an as available basis. Beyond the commitments stated in these terms and beyond the warranties that French law does not allow us to exclude, we make no other warranty, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. We do not warrant that the service will be uninterrupted or free of every error, and you remain responsible for reviewing the accuracy of the figures in your own ledger before presenting them to your board.

10. Limitation of liability

To the fullest extent permitted by law, the total liability of MLJ, SASU arising out of or relating to the service is limited to the amount paid by the subscriber during the twelve months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, for loss of membership revenue, for reputational harm, or for loss of data where the subscriber failed to keep an export of the records available to it. Nothing in these terms excludes liability for fraud, for gross negligence, or for any liability that cannot lawfully be excluded.

11. Indemnity

The subscriber agrees to indemnify MLJ, SASU against claims, damages and reasonable costs arising from its own unlawful use of the service, from content it uploads, or from a failure to obtain the consents required to contact the people whose details it enters into the platform.

12. Changes to these terms

We may amend these terms to reflect changes in the service or in the law. Material changes are notified by email to the account contact at least thirty days before they take effect. Continuing to use the service after that date constitutes acceptance. If you do not accept a change, you may cancel before it takes effect and pay nothing further.

13. Governing law and jurisdiction

These terms are governed by French law. Any dispute that cannot be settled amicably falls within the exclusive jurisdiction of the competent courts of Paris, France, without prejudice to mandatory protections available to a party in its own country of residence.
